    1. The service

    Privly is a social media scheduling and publishing tool that helps creators and teams draft, schedule, and publish content to connected platforms.

    Privly is operated by MASTERPIECE Technologies Inc.

    2. Eligibility

    You must be able to form a binding contract and comply with the rules of the platforms you connect.

    3. Your account

    • You’re responsible for activity on your account and for keeping your credentials secure.
    • You must provide accurate information and keep it up to date.

    4. Acceptable use

    Don’t use Privly to:

    • Post illegal, harmful, or abusive content.
    • Spam, automate engagement in prohibited ways, or violate platform policies.
    • Attempt unauthorized access, disrupt service, or bypass limits.

    5. Connected platforms

    When you connect a platform (e.g., X, LinkedIn, Meta, TikTok), you authorize Privly to access and publish content on your behalf within the permissions you grant. Your use is also subject to the platform’s terms and policies.

    6. Your content and permissions

    • You retain ownership of content you create and upload.
    • You represent that you have all rights, licenses, and permissions needed to upload and publish that content.
    • You grant Privly a limited license to host, process, and transmit your content solely to operate the service (for example: draft storage, scheduling, previewing, and publishing to selected platforms).

    7. AI features

    AI outputs are generated automatically and may be inaccurate, incomplete, or unsuitable for your use case. You are responsible for reviewing, editing, and approving AI outputs before publishing.

    8. Subscriptions & billing

    Privly may offer free and paid plans. If billing applies, we will present pricing and renewal terms before you are charged. (If you’re on a free plan, features may be limited.)

    Payments are processed by third-party providers (such as Paddle or Helcim, depending on deployment), and their terms may also apply to billing transactions.

    Refunds are handled according to our Refund Policy.

    9. Suspension and termination

    We may suspend or terminate access if we reasonably believe you violated these Terms, platform policies, or if required for security. You may stop using Privly at any time.

    10. Disclaimers

    Privly is provided “as is” and “as available”. We do not guarantee uninterrupted operation or that every post will be published successfully on every platform.

    11. Limitation of liability

    To the maximum extent permitted by law, Privly will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data.

    12. Indemnification

    To the extent permitted by law, you agree to indemnify and hold Privly harmless from claims, losses, liabilities, and costs (including reasonable legal fees) arising from your content, your use of connected platforms through Privly, or your violation of these Terms or platform policies.

    13. Governing law

    These Terms are governed by the laws of Ontario, Canada (or your business jurisdiction if updated). Venue is the courts located in Ontario, Canada.
