1. Scope

These Creator Referral Terms apply only to approved creator, influencer, or partner referral accounts in Privly's creator referral program.

Participation is by approval only. Privly may approve, reject, pause, suspend, or remove any creator account at any time, including for policy, fraud, brand, compliance, or operational reasons.

2. Creator tools

Privly may assign, replace, rotate, or deactivate creator referral assets at its discretion. These tools point to the same creator referral account inside Privly. The mapped creator discount is used to deliver the audience offer, which is currently 50% off the first month.

If your mapped referral link or mapped discount code is used for an eligible referral, that referral still belongs to your creator account, subject to these terms and Privly's attribution rules.

3. Commission structure

Eligible creator accounts earn a 40% recurring commission for up to 12 months from the referred customer's first successful paid subscription event.

The 12-month commission period starts on the date of that first successful paid subscription event. Commissions apply only to eligible paid subscription charges actually collected by Privly from the referred customer during that period.

Referred users get 50% off their first month through the creator offer when the mapped Paddle discount is used.

4. Attribution rules

• The default attribution window is 30 days.
• The default attribution model is the last valid referral touch before signup.
• A checkout discount code may override a previously saved referral link when the two conflict.
• Privly's backend is the source of truth for attribution and commission decisions.
• Paddle is used for billing and discount execution, not as the source of truth for attribution.

5. Eligible referrals

To be eligible for commission, a referral must be genuine and must meet all of the following conditions:

• The referred customer must be a real customer using their own account and payment method.
• The referred customer must complete a successful paid transaction for an eligible Privly plan.
• The referral must not be a self-referral, duplicate attribution, or abusive transaction.
• The referral must comply with these Creator Referral Terms and any creator guidance Privly provides.

6. Ineligible or reversible commissions

Privly may deny, hold, reverse, or remove commissions in cases including:

• refunds or partial refunds
• chargebacks or payment disputes
• fraud, abuse, or suspicious activity
• self-referrals
• duplicate or conflicting attribution
• breach of these Creator Referral Terms
• transactions Privly determines are invalid or not payout-eligible

7. Commission lifecycle

• Pending: created after the referred customer's successful payment and waiting for review.
• Approved: reviewed and accepted by Privly, but not yet queued for the next payout batch.
• Payable: approved and ready for the next manual payout batch, subject to payout details and final checks.
• Paid: funds were sent by Privly.
• Reversed: the commission no longer counts because it became ineligible.
• Flagged: held for review because Privly detected a potential issue.

8. Payouts

Creator payouts are reviewed manually. Privly may require accurate payout details and identity or tax information before sending funds.

Privly may apply a reasonable payout minimum and may roll smaller payable balances into a future payout batch. Unless Privly confirms a specific payout schedule in writing, payout timing is handled on a manual, good-faith basis after review.

9. Complimentary access

Complimentary access. Privly may provide complimentary or promotional access to eligible creators as a benefit of the creator referral program. Complimentary access is discretionary and remains available only while the creator remains in good standing, complies with these Creator Referral Terms, and meets Privly's reasonable program activity or performance requirements, as reviewed periodically by Privly. Privly may modify, suspend, downgrade, or revoke complimentary access upon notice if those requirements are not met.

10. Creator obligations

You agree that you will not:

• send spam or use deceptive promotion methods
• make misleading claims about Privly's features, pricing, results, or guarantees
• use false scarcity, false discounts, or fake urgency
• impersonate Privly or misrepresent your relationship with Privly
• use Privly branding in a misleading or unauthorized way
• refer yourself or attempt to game attribution or payouts

You are responsible for how you promote Privly and for complying with applicable advertising, disclosure, and consumer protection laws.

11. Brand and messaging

Privly may provide creator messaging, brand, or product guidance. You must not misstate product capabilities, pricing, discount terms, or support promises.

Privly may require you to edit or remove promotions that are inaccurate, misleading, or non-compliant.

12. Program changes and termination

Privly may modify, suspend, or end the creator referral program at any time. Privly may also update commission terms for future referrals with notice. Program benefits, including complimentary access, may also be modified, suspended, or discontinued.

Unless Privly states otherwise in writing, valid commissions already earned before a change or termination will continue to be handled under the terms in effect when those commissions were earned, subject to review, reversals, fraud checks, and payout requirements.

13. Relationship and dispute basics

You are an independent promoter. These Creator Referral Terms do not create an employment, agency, partnership, or joint venture relationship between you and Privly.

Privly may make final good-faith attribution, eligibility, and commission determinations based on Privly's system records, logs, and billing data.

These Creator Referral Terms are governed by the laws of Ontario, Canada, and venue will be the courts located in Ontario, Canada, unless Privly updates this section in writing.
